Terms of Service

The Platform is available only to individuals who are at least 18 years of age and possess the legal capacity to enter into binding agreements under the laws of their jurisdiction. By accessing the Services, you represent and warrant that you meet these requirements.

You are solely responsible for determining whether your use of the Platform is lawful in your jurisdiction. Regulatory frameworks for digital assets, decentralized finance, and token creation vary widely by country, state, and territory. It is your obligation to understand and comply with all laws, regulations, and tax requirements that apply to your use of the Platform.

The Platform may not be accessed or used by any individual or entity located in, organized under the laws of, or ordinarily resident in any jurisdiction subject to comprehensive sanctions imposed by the United Nations Security Council, the European Union, the United States (OFAC), the United Kingdom, or other applicable international authorities. This includes, but is not limited to, Cuba, Iran, North Korea, Syria, and regions subject to territorial sanctions such as Crimea, Donetsk, and Luhansk.

You represent that you are not listed on any sanctions, restricted persons, or denied parties list maintained by any government authority. You agree that you will not use the Platform to transact with or on behalf of any sanctioned individual, entity, or jurisdiction. Attempting to circumvent geographic restrictions through virtual private networks, proxy servers, or other technical means constitutes a violation of these Terms.

When you register for an account, you accept full responsibility for safeguarding your login credentials, Vault Key, recovery key, and any private keys generated or imported through the Platform. All activity that occurs under your account is attributable to you, whether or not you authorized it.

Teleport.spot employs a zero-knowledge encryption model. Your private keys and seed phrases are encrypted on your device before being stored on our servers. We do not possess the ability to view, decrypt, or recover this data. If you lose your Vault Key and recovery key, your encrypted private keys become permanently inaccessible. There is no reset mechanism, no support override, and no backdoor. This is a deliberate architectural decision, not a limitation, and you accept this reality as a condition of using the Services.

We strongly urge you to store your private keys and recovery key in a secure, offline location. Never share your credentials with anyone. Teleport.spot will never ask you for your Vault Key, private key, or seed phrase through any channel.

If you suspect that your account has been compromised or that unauthorized activity has occurred, you should take immediate steps to secure your assets and notify us through our official communication channels.

Teleport.spot provides infrastructure for creating, discovering, and trading digital tokens on the Solana blockchain. This includes a bonding curve mechanism for initial token pricing, an automated market maker for post-graduation liquidity, wallet generation and management tools, and related features.

We are not a bank, broker, exchange, custodian, financial institution, money transmitter, investment advisor, portfolio manager, or fiduciary. We do not hold your funds in any account. We do not manage, invest, or make decisions regarding your assets. We do not extend credit. We have no fiduciary duty or obligation to you of any kind. Every trade you execute is your own decision, made at your own discretion, and carried out at your own risk.

Portions of the Platform may be in active development, testing, or early release stages. Features may be modified, added, or removed without advance notice. Software in development may contain bugs, errors, or unexpected behavior that could result in service disruptions, failed transactions, or other unintended outcomes.

By using the Platform during any development or testing phase, you acknowledge these inherent risks and agree that Teleport.spot bears no liability for any losses or damages that arise from incomplete, experimental, or evolving functionality.

Tokens created through the Platform are user-generated digital assets deployed to the Solana blockchain. Any individual can create a token using the Platform's tools. Teleport.spot does not create, curate, audit, endorse, guarantee, or accept responsibility for any token or the individual or entity behind it. The appearance of a token on the Platform does not constitute a recommendation, endorsement, or statement of quality or value.

All trades executed through the Platform are processed on the Solana blockchain and are final and irreversible once confirmed by the network. You cannot cancel, reverse, or modify a transaction after submission. You acknowledge and accept this property of blockchain-based transactions.

The value of digital tokens is inherently volatile and unpredictable. Prices can change dramatically within seconds. You may lose part or all of your holdings at any time. Historical performance of any asset is not a predictor of future outcomes. You should only commit funds that you are fully prepared to lose without financial hardship.

Using the Platform involves various costs, including but not limited to Solana network transaction fees (paid to blockchain validators for processing your transactions), platform trading fees (displayed in the interface at the time of each transaction), and token creator fees (where applicable, as determined by the token's creator). Fee estimates shown before transaction confirmation are approximations. Actual fees may differ due to network conditions, price movement, or other factors.

Fee structures may be updated over time. Changes will be reflected in the Platform interface before you confirm any affected transaction. Fees paid to the blockchain network are non-refundable regardless of whether a transaction succeeds or fails.

We reserve the right, at any time and at our sole discretion, to request identity verification, supporting documentation, or other compliance-related information from any user. This right may be exercised in response to changes in applicable law, regulatory guidance, suspicious activity, or as part of general compliance improvements.

Failure to provide requested documentation within a reasonable timeframe may result in suspension or termination of your access to the Platform. We will handle any documentation you provide in accordance with our Privacy Policy.

You agree that you will not use the Platform for any purpose that is unlawful, harmful, or inconsistent with these Terms. Specifically, you must not:

Engage in market manipulation of any kind, including but not limited to pump-and-dump schemes, wash trading, spoofing, layering, front-running, or the creation of artificial trading volume or price movement. Create tokens that infringe upon the intellectual property rights, trademarks, copyrights, or trade names of any third party. Publish content that is fraudulent, deceptive, defamatory, obscene, threatening, or designed to mislead other users. Deploy automated systems, bots, scripts, crawlers, or scraping tools to access the Platform, extract data, or interact with smart contracts without prior written authorization. Attempt to interfere with, degrade, disrupt, or compromise the availability, performance, security, or integrity of the Platform or its underlying infrastructure. Use the Platform to facilitate money laundering, terrorist financing, sanctions evasion, or any other financial crime. Access the Platform from a restricted jurisdiction or act on behalf of a sanctioned individual or entity. Reverse-engineer, decompile, or disassemble any component of the Platform software.

We reserve the right to investigate suspected violations and to suspend or permanently terminate access for any user who engages in prohibited conduct, without prior notice or obligation to provide a reason.

The Teleport.spot name, logo, visual identity, website design, user interface, underlying source code, smart contracts, and all related materials are the exclusive property of Teleport.spot. You may not reproduce, copy, modify, distribute, display, license, or create derivative works from any part of the Platform without explicit prior written consent.

Content that you create and upload, including token names, descriptions, logos, banners, and social links, remains your intellectual property. By uploading content to the Platform, you grant Teleport.spot a non-exclusive, worldwide, royalty-free, perpetual license to display, host, distribute, and promote that content within the Platform and through associated communication channels for the purpose of operating and marketing the Services.

Nothing presented on the Platform constitutes financial, investment, legal, accounting, or tax advice, nor should it be interpreted as such. All data, charts, metrics, rankings, and analytical tools are provided purely for informational and educational purposes. You bear sole responsibility for evaluating the risks and merits of every transaction you undertake.

Before making decisions involving digital assets, we urge you to consult with independent professionals, including a qualified financial advisor, legal counsel, and tax accountant, who can provide guidance tailored to your individual circumstances and jurisdiction.

By using the Platform, you expressly acknowledge and accept the following risks:

The market value of digital tokens is subject to extreme and unpredictable fluctuation. Regulatory environments for digital assets are evolving rapidly and may change in ways that affect the legality, value, or functionality of tokens in your jurisdiction. Smart contracts, while audited and tested, may contain latent defects or behave unexpectedly under certain conditions. Blockchain networks may experience congestion, outages, forks, or reorganizations that affect transaction processing and finality. The loss of your private key, seed phrase, or Vault Key results in permanent, irreversible loss of access to your assets. Third parties, including token creators, may act dishonestly, abandon projects, or engage in practices that result in loss of value.

You agree that you are participating in the Services voluntarily, with full knowledge of these risks, and that Teleport.spot has no obligation to protect you from any of these outcomes.

The Platform is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise. This includes, without limitation, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

To the maximum extent permitted by applicable law, Teleport.spot and its operators, developers, contributors, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages of any kind, including but not limited to loss of revenue, loss of profits, loss of data, loss of access, loss of tokens, business interruption, or any other financial or non-financial loss, arising from or related to your use of or inability to use the Platform, regardless of whether we were advised of the possibility of such damages.

Our total cumulative liability for any and all claims arising from or related to the Platform shall not exceed one hundred United States dollars (USD $100) or the total amount of platform fees you have paid to us in the twelve months preceding the event giving rise to the claim, whichever is greater.

You agree to defend, indemnify, and hold harmless Teleport.spot and its operators, developers, employees, contractors, and affiliates from and against any and all claims, demands, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Platform, your breach of these Terms, your violation of any applicable law or regulation, any content you submit or create through the Platform, or your infringement of any right belonging to a third party.

While we aim to maintain consistent and reliable access to the Platform, we do not guarantee uninterrupted, error-free, or secure operation at all times. The Platform may become temporarily or permanently unavailable due to scheduled maintenance, software updates, infrastructure changes, network disruptions, security incidents, or events beyond our reasonable control.

We reserve the right to modify, suspend, or discontinue any feature, service, or component of the Platform at any time, with or without prior notice, and without liability to you.

We may restrict, suspend, or terminate your access to the Platform at any time, with or without cause, if we determine in our sole judgment that your activity violates these Terms, poses a risk to other users, compromises the integrity of the Platform, or is otherwise objectionable.

Termination of your account on Teleport.spot does not affect your ownership of on-chain assets. Your tokens and wallet balances are controlled by your private keys and remain accessible through the Solana blockchain independent of your relationship with this Platform.

If a dispute arises between you and Teleport.spot relating to these Terms or the Services, you agree to first make a good-faith effort to resolve the matter informally by contacting us through our official channels. If the dispute is not resolved informally within thirty (30) calendar days, either party may initiate binding arbitration.

All disputes shall be resolved through final and binding arbitration conducted on an individual basis. You expressly waive any right to participate in a class action, collective action, consolidated proceeding, or representative action of any kind. This waiver applies to the fullest extent permitted by applicable law.

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Teleport.spot operates, without regard to principles of conflict of laws. You consent to the exclusive jurisdiction and venue of the courts within that jurisdiction for the resolution of any dispute not subject to arbitration.

The Platform may interact with or contain references to third-party services, websites, protocols, or applications. These include, but are not limited to, external wallet providers, blockchain explorers, social media platforms, and links embedded in token descriptions by their creators. We do not control, endorse, or assume responsibility for any third-party service, its content, its privacy practices, or its availability.

Your interactions with third-party services are governed by their own terms and policies. We strongly recommend reviewing the applicable terms of any third-party service before engaging with it. Any losses or damages arising from your use of third-party services are your sole responsibility.

If any provision of these Terms is determined to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it will be severed. The remaining provisions will continue in full force and effect and will not be affected by the invalidity of the severed provision.

These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and Teleport.spot regarding your use of the Platform. They supersede all prior agreements, communications, and understandings, whether written or oral, relating to the subject matter herein.

Our failure to enforce any right or provision of these Terms at any time does not constitute a waiver of that right or provision. Any waiver of a breach does not constitute a waiver of any subsequent or different breach.

We reserve the right to revise these Terms at any time. When changes are made, we will update the “Last updated” date at the top of this page. For changes that materially affect your rights or obligations, we will make reasonable efforts to provide notice through the Platform. Your continued use of the Platform after revised Terms take effect constitutes your acceptance of those revisions. If you do not accept the updated Terms, you should discontinue use of the Platform.
